Directors' Dealings and Exercise of Options

The Company was notified today that Michael Edelman, Chief Executive Officer of Nanoco, sold 1,000,000 ordinary shares of 10p each in the Company ("Ordinary Shares") on 19 October 2012 at a price of 57p per Ordinary Share. These Ordinary Shares were held in the Company's employee benefit trust.

Following this transaction Michael Edelman is interested in a total of 8,288,640 Ordinary Shares, representing approximately 3.97% of the Company's issued share capital.

The Company was also notified today that, Nigel Pickett, Chief Technology Officer of Nanoco, exercised 1,493,750 share options granted under the Company's share options scheme over Ordinary Shares. The options were exercised on 19 October 2012 at an exercise price of 3.516p per Ordinary Share. Nigel sold 1,000,000 of the resultant Ordinary Shares on 19 October 2012 at a price of 57p per Ordinary Share.

Following this transaction Nigel Pickett is interested in a total of 10,945,681 Ordinary Shares, representing approximately 5.24% of the Company's issued share capital.

Accordingly, application has been made for 1,493,750 Ordinary Shares to be admitted to AIM ("Admission"). It is expected that Admission will occur on 25October 2012 and, following Admission, the enlarged issued share capital of the Company will be 208,877,917 Ordinary Shares.
