The changes to the announcement are as follows: Mr Lanir is interested in approximately 34.5 per cent of the issued share capital of the Company. The full amended text appears below. Empire Online Limited ("Empire Online" or "the Company") Empire Online has been notified that Noam Lanir, Chief Executive Officer of theCompany, has acquired 4,000,000 ordinary shares in the Company ("OrdinaryShares") at an average price of 42.69p per share. Following this acquisition Noam Lanir is interested in 101,116,837 OrdinaryShares, representing approximately 34.5 per cent. of the issued share capital ofthe Company. Mr Lanir is interested in these shares by virtue of the fact thathe owns directly or indirectly all of the issued share capital of GrovertonManagement Limited, which has made the acquisition of Ordinary Shares. As provided for in the Company's articles of association, the independentdirectors of the Company have consented to this acquisition and GrovertonManagement Limited is not therefore required to make an offer to allshareholders on matching terms.
