In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc ("the Company") was notified on Friday 15 August 2008 that on the 15 August the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £9.0947 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
