Directors' dealings
Ideagen PLC (AIM: IDEA), a leading supplier of Information Management software to highly regulated industries, announces dealings by certain directors in Ideagen's ordinary shares of 1p each ("Ordinary Shares").
Graeme Spenceley, Barnaby Kent and Ben Dorks, executive directors (the "Exercising Directors"), have each exercised 600,000 options over Ordinary Shares (the "Options"). Each subsequently sold 300,000 Ordinary Shares at a price of 109 pence per Ordinary Share to cover the costs and tax arising on the exercise. These Options were awarded pursuant to the Group's 2017 long-term incentive plan ("2017 LTIP") and the Board (excluding the Exercising Directors) used their discretion under the 2017 LTIP to allow the early exercise of the Options and associated sale.
Each of the Exercising Directors has undertaken to the Board that they will not, without the permission of the Board (excluding each of the Exercising Directors), sell any of the remaining 300,000 Ordinary Shares issued to each of them pursuant to this exercise before the fourth anniversary of issue on 23 March 2021 when they would otherwise have been entitled to do so in accordance with the 2017 LTIP.
Furthermore, Jonathan Wearing, non-executive chairman, and each of the Exercising Directors, sold a further number of Ordinary Shares previously held by them at a price of 109 pence per Ordinary Share, as set out in the below table.

Ideagen has also issued a further 600,000 Ordinary Shares to employees pursuant to exercises of Share Options. All of the above dealings (being the exercises of Share Options and the sales of Ordinary Shares) occurred on 10 April 2018.
Application has been made for the total of 2,400,000 new Ordinary Shares issued pursuant to the above exercises of Share Options, which will rank pari passu with existing Ordinary Shares, to be admitted to trading on AIM ("Admission"). It is expected that Admission will become effective and dealings will commence at 8:00am on or around 16 April 2018.
Following Admission, the total issued share capital of the Company will consist of 202,650,090 Ordinary Shares. This number may be used by shareholders as the denominated for the calculations by which they will determine if they are required to notify their interest, or a change to their interest in, the Company under the FCA's Disclosure and Transparency Rules.
