Notification of Transactions of Persons Discharging Managerial Responsibilities
Countrywide plc (the "Company") announces that it received notification on 7 October 2016 of the following acquisition of 168,737 ordinary shares of 1 pence each in the Company ("Ordinary Shares") at a cost of £366,243.66 under the Countrywide Share Incentive Plan (the "Plan"); an all-employee trust arrangement approved by HMRC.
The following Persons Discharging Managerial Responsibilities (each a "PDMR") were allocated Ordinary Shares on 6 October 2016 under the Plan, by Capita IRG Trustees Limited (the "Trustee"):

Partnership Shares are those Ordinary Shares purchased on behalf of the employee using an amount which the employee has chosen to have deducted from his salary, and Matching Shares are those awarded to the employee by the Company for nil consideration in respect of the Partnership Shares purchased.
The Partnership Shares were purchased and the Matching Shares were awarded at a price per share of £2.1705.
The Ordinary Shares are held by the Trustee and in the name of the Trustee. Partnership Shares can normally be sold at any time. Matching Shares cannot normally be disposed of for a period of three years after the award date.
The attached notifications, made in accordance with the requirements of the EU Market Abuse Regulation, give further detail of the number of Partnership Shares purchased and the number of Matching Shares awarded under the Plan on 6 October 2016.
