NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY (PDMR) OR CONNECTED PERSONS
On 21 May 2009, 5.4 million total performance and restricted shares (including dividend shares) held by George Battersby, Jim Marsh, John Pluthero and Tony Rice vested due to the satisfaction of performance and time conditions. The Cable & Wireless Employee Share Ownership Trust has automatically sold 2.2 million of these shares to pay the income tax and national insurance owed by the Directors/PDMRs.
For personal tax planning purposes, Tony Rice has also sold 1.78 million vested shares after tax.
George Battersby, Jim Marsh and John Pluthero have retained all their vested shares after tax.
Also on 21 May 2009, 6.6 million share options held by John Pluthero and Tony Rice became exercisable. They have both decided to retain their share options without exercise.
In view of the above, the following transactions have therefore been undertaken by Directors and PDMRs in relation to the vesting of share awards:
