TalkTalk Telecom Group PLC (the "Company")

Long Term Incentive Awards

The performance conditions in respect of 60% of the awards granted to executive Directors of the Company in June 2014 and February 2015 under the Company's Shareholder Value Plan ("SVP") have not been satisfied.

Therefore, the Company makes a notification in accordance with DTR 3.1.2 R and section 793 of the Companies Act 2006 that pursuant to the rules of the SVP, the following executive Directors have transferred to the Company and are no longer interested in, the following shares in the Company's subsidiary TalkTalk Group Limited:

Tristia Harrison - 600,000 D Shares of 0.0001 pence each

Charles Bligh - 600,000 D Shares of 0.0001 pence each

Iain Torrens - 600,000 F Shares of 0.0001 pence each

These shares do not represent any holding of listed shares in the Company and, therefore, the executive Directors' shareholdings in the Company are unchanged.
