Cookson Group PLC01 April 2008 1 April 2008 Directors' InterestsCookson Group plc In accordance with the rules of the Cookson Group Long-Term Incentive Plan (the"Plan") the executive Directors of Cookson Group plc have received their annualallocations of Performance Shares. In addition, Nick Salmon, Chief Executive,and Mike Butterworth, Group Finance Director, have both chosen to invest inCookson shares and as a result have received allocations of Matching Shares. Performance Shares were allocated to executive Directors on 31 March 2008, basedupon the mid-market closing price for shares in Cookson Group plc ("the Company") on 28 March 2008, of 643 pence. The allocations are as follows: Director Performance SharesN R Salmon 80,342M G Butterworth 48,755 In accordance with the rules of the Plan, the executive Directors are eligibleto invest all or part of their Annual Incentive payment in shares in the Companyin return for which they would be granted an award of shares ("Matching Shares"). In this regard Mr Salmon purchased 43,958 shares and Mr Butterworthpurchased 28,293 shares. Details of these purchases were announced on 12 March2008. As a result of these investments in Company shares, Messrs Salmon andButterworth were yesterday allocated 154,942 and 99,727 Matching Sharesrespectively. Awards of Performance and Matching Shares under the Plan will normally vest onor shortly after the third anniversary of the award date. The proportion of anaward that vests will be subject to the attainment of certain performanceconditions relating to the performance of the Company over the three financialyears to which the award relates, as detailed in the Annual Report.
