The Company announces that it received notification that Adine Grate, an Independent Non-Executive Director of the Company, transferred the registered holding of 9,194 ordinary shares in the Company from an account in the name of a pension fund to a nominee account for that fund (the "Transfer"). Her beneficial interest in the Company (being 29,394 ordinary shares) has not changed as a result of the Transfer.
Adine Grate continues to undertake to vote in favour of the offer by 21st Century Fox ("Fox") for the fully diluted share capital of the Company which Fox and its affiliates do not already own (the "Acquisition") in respect of her beneficial holding detailed above (being the same number of ordinary shares that are subject to the undertaking as described in the offer announcement made on 15 December 2016), and any other beneficial holdings acquired following the date of this announcement.
Fox have agreed that the restriction on transfers which is contained in the irrevocable undertaking provided by Adine Grate on 14 December 2016 in relation to the Acquisition shall not apply in respect of the Transfer and any subsequent change in the registered title to the 9,194 shares provided that Adine Grate retains the beneficial interest in those shares. This agreement will shortly be uploaded to the Company's website (at skygroup.sky/corporate/investors/21st-century-fox-offer).
