Notification of Transactions of Directors/
Persons Discharging Managerial Responsibility and Connected Persons
Pursuant to article 19 of regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse ("Market Abuse Regulation or "MAR"), Interserve Plc (the "Company") announces that on 3 May 2018 the following Executive Directors/Persons Discharging Managerial Responsibilities ("PDMRs") were granted an Award under the Interserve Performance Share Plan 2015 (the "Plan") in the form of nil-cost options, to acquire ordinary shares of 10p each in the Company ("Shares"), up to the maximum numbers shown below:-

The price used to calculate the maximum number of ordinary shares under the Plan was 90.10p, being the average closing price on 30 April, 1 and 2 May 2018 of the Company's shares on the main market of the London Stock Exchange. The Awards will normally vest on or after the third anniversary of the date of grant subject to the fulfilment of certain performance conditions based on cumulative operating profit, total shareholder return and strategic targets and are subject to recovery and withholding provisions. No consideration is payable on the grant or the vesting of the Awards which must be exercised within two years of vesting. The Awards granted to the Executive Directors are subject to a two-year holding period after vesting.
The notification below, made in accordance with the requirements of article 19 of MAR, provide further details.
