3i Group PLC31 July 2006 UK Listing Authority Disclosure Rules DR 3.1.4 R As potential beneficiaries of The 3i Group Employee Trust (the "Trust") allemployees of 3i Group plc (the "Company") and its subsidiaries have an interest(within the meaning of sections 324 to 328 of the Companies Act 1985) in all theordinary shares of 62 69/88p each in the Company ("Shares") held by the Trust.These employees include P E Yea, S P Ball and M J Queen, who are Directors ofthe Company. On 28 July 2006 the Company was notified that on 28 July 2006 the Trustee of theTrust purchased 800,000 Shares at an average price of 915.5408 pence per Share.On 31 July 2006 the Company was notified that on 31 July 2006 the Trustee of theTrust purchased a further 700,546 Shares at an average price of 935.2864 penceper Share.
