Director/ PDMR Shareholding

The Company has been notified today that on 12 March 2014, two of the Directors of the Group, Dominic Keen and Ben Carswell, made individual transfers in shares across accounts where they are the beneficiary, with their beneficial interest remaining unchanged.

Mr Keen, Chief Executive Officer, transferred a total of 10,329 ordinary shares of 0.5 pence each in the Company ("Ordinary Shares") into an ISA held by himself. The transaction was effected through a sale and purchase transfer across accounts at a price of 110 pence per Ordinary Share.

The shareholding held by Mr Keen has not been affected by the transfer of these shares. Both before and after the transfer of these shares, he held 587,500 Ordinary Shares, representing a beneficial interest in the Company of 3.7% of the current issued share capital.

Mr Carswell, Chief Financial Officer, transferred a total of 10,329 Ordinary Shares each in the Company into an ISA held by himself. The transaction was effected through a sale and purchase transfer across accounts at a price of 110 pence per Ordinary Share. Additionally, Mr Carswell also transferred a total of 10,329 Ordinary Shares each in the Company into an ISA held on behalf of his wife. The transaction was effected through a sale and purchase transfer across accounts at a price of 110 pence per Ordinary Share.

The shareholding held by Mr Carswell has not been affected by the transfer of these shares. Both before and after the transfer of these shares, he (together with his wife) held 216,600 Ordinary Shares, representing a beneficial interest in the Company of 1.4% of the current issued share capital.

This does not impact any obligations under the lock-up agreement put in place for all of the Directors (which, for avoidance of doubt, Mr Keen and Mr Carswell are both party to) at the time of the Group's IPO in December 2013 and the Group's Nomad, N+1 Singer. The lock-up remains in force until 18 December 2014.
