Mrs. Fiona Clutterbuck, a director of WS Atkins plc (the "Company"), notified the Company on 2 August 2010, that on that day in London she purchased 1,335 ordinary shares of 0.5 pence each in the Company at a price of £7.49 per share. The shares are held by Mrs. Clutterbuck directly. The acquisition of 1,335 shares equated to 0.0013% of the voting issued share capital.

Mrs. Clutterbuck's total interest in shares following this notification is 4,146 ordinary shares, representing 0.004% of the voting issued share capital of WS Atkins plc.
