Wood Group (John) PLC11 July 2005 RNS ANNOUNCEMENT - 11 July 2005 John Wood Group PLC ("Company") The Company was informed that on 6 July 2005, the Trustees of the John WoodGroup PLC Employee Share Trust (the "EST"): • sold 30,000 ordinary shares in the capital of the Company at a £1.87516per share, being 0.0061% of the share capital of the Company pursuant toexercises of share options under the John Wood Group PLC 2000 Approved ExecutiveShare Option Scheme and the John Wood Group PLC 2000 Unapproved Executive ShareOption Scheme (together "Schemes"). And further The Company was informed that on 7 July 2005, the Trustees of the John WoodGroup PLC Employee Share Trust (the "EST"): • sold 30,000 ordinary shares in the capital of the Company at a £1.8774per share, being 0.061% of the share capital of the Company; and • transferred 173,076 ordinary shares in the capital of the Company at aconsideration, of 17 1/3 pence per share being 0.0353% of the share capitalof the Company, to employees of the Company, and its subsidiaries, exercisingshare options under the John Wood Group PLC 2000 Approved Executive Share OptionScheme and the John Wood Group PLC 2000 Unapproved Executive Share Option Scheme(together "Schemes"). Following these transactions, the EST holds a total of 19,955,629 ordinaryshares representing 4.0759% of the share capital of the Company. The class of discretionary beneficiaries for whom the EST holds such sharesconsists of employees of the Company, including the following executivedirectors of the Company: Allister G Langlands, Wendell R Brooks, Alan G Semple,Trevor M Noble and Leslie J Thomas.
