BBA Aviation PLC19 June 2007 19 June 2007 Award of Ordinary Shares A conditional share award over 347,900 BBA Aviation plc ordinary shares of 29 16/21 pence each was made to Simon Pryce, Chief Executive Officer, on 18 June2007. This conditional share award was made under the BBA 2006 Long-TermIncentive Plan and is subject to the achievement of performance conditions. Ifthey vest the shares will be released at nil cost in accordance with the PlanRules. In accordance with paragraph 9.4.2 of the Listing Rules and in recognition ofthe forfeiture of potential bonus and certain share and option awards from hisprevious employer on Simon Pryce's joining BBA Aviation plc and subject to SimonPryce still being in employment at the vesting date and a number of otherconditions, a further award of shares was made to him on 18 June 2007. Underthis award, 36,900 ordinary shares will be released to Simon Pryce at nil costin March 2008 and 176,800 ordinary shares will be released to him at nil cost inequal 33.3% tranches after one, two and three years of service.
