Lord Rothschild, a director of RIT Capital Partners plc (the 'Company'), has advised the Company of the following transaction relating to the £1 ordinary shares of the Company ('Shares'):

On 9 March 2015 Lord Rothschild acquired 19,655 Shares (0.01% of issued share capital) for nil consideration pursuant to the vesting of the first tranche of a conditional award granted under the Company's deferred bonus arrangements on 7 March 2014.

Following this transfer, Lord Rothschild's interests in the Company comprise the following:

10,304,360 Shares (6.63% of issued) held beneficially.

17,911,385 Shares (11.53% of issued) held non-beneficially.

The above disclosure is in accordance with Disclosure Rule and Transparency Rule 3.1.4. The transaction took place in the United Kingdom on 9 March 2015, the same date as the Company was notified of the transaction.
