Balfour Beatty PLC27 September 2005 Notification of Director's interests in ordinary shares pursuant to Disclosure Rule 3.1.4.R(1)(b) ----------------------------------------- The Company has on 26 September 2005 received notification that on 23 September2005, the Trustees of the Balfour Beatty Employees' Trust purchased 178,084ordinary shares of 50p each at a price of 319.89p each to satisfy awards underthe Performance Share Plan 2001. The Executive Directors, Mr J L Cohen, Mr A L P Rabin, Mr I P Tyler, Mr A JWivell and Mr P J L Zinkin, are beneficiaries of the Trust along with otheremployees and, as such, each Executive Director is deemed to be interested inthe 178,084 shares purchased by the Trustee. As a result of this purchase, each Executive Director is deemed to have aninterest in a total of 889,758 shares now held by the Trust.
