Carillion plc: Director shareholding

This announcement is made in accordance with the Disclosure Rules and Transparency Rules (DTR 3.1.4).

John McDonough, Chief Executive of Carillion plc, notified Carillion plc on 18 June 2010 that he had sold 1,156,233 Carillion plc ordinary shares of 50 pence each. The shares were sold on 18 June 2010 at £3.24 per share.

In addition, Carillion plc was notified on 18 June 2010 that on 18 June 2010, Mr McDonough's wife, Lynne McDonough, bought 600,000 Carillion plc ordinary shares of 50 pence each at a price of £3.24 per share for a total consideration of £1,944,000.

Following these transactions, Mr McDonough has a total aggregate interest, or potential interest, in 1,729,182 Carillion plc ordinary shares of 50 pence, including shares that may be awarded under Leadership Equity Plans, subject to the achievement of certain performance requirements.
