CODASciSys PLC03 April 2006 CODASCISYS PLC (the "Company") Directors' Shareholdings On 31 March 2006, Jeremy Roche and Mark Hampson received share awards over50,000 and 25,000 ordinary shares of 25p each in the Company respectively. Theawards were made using the Company's Executive Share Ownership Plan (the "ShareOwnership Plan"). The awards were priced at 512p, the closing price on 30 Marchaccording to the Stock Exchange Daily Official List. The Share Ownership Plan enables the Directors to benefit only from the futuregrowth in the value of the Ordinary Shares above 512p, to the extent that thisgrowth exceeds 4% per year. They may not normally realise any such benefitbefore the results are announced in respect of the Financial Year ending 31December 2008, which is expected to occur in March 2009.
