Warner Estate Holdings PLC ("the Company")
Shareholdings of Directors and PDMRs
Messrs. P C T Warner and M J Stevens, Directors of the Company, purchased 984 Ordinary shares and 986 Ordinary shares respectively, in the Company on 2nd January 2009 at 25.43p each under the Company's All Employee Share Ownership Plan ("the AESOP"). Mr. P C T Warner purchased 492 of his shares as Partnership Shares and 492 shares were purchased by the Company as Matching shares under the rules of the AESOP. Mr. M J Stevens purchased 493 of his shares as Partnership Shares and 493 shares were purchased by the Company as Matching shares under the rules of the AESOP. All shares were purchased on their behalf by Capita IRG Trustees Limited, the Trustee of the AESOP. The Trustee will hold the Shares in Trust for a minimum period of five years following the date of the purchase. The shares purchased represent less than 0.001 per cent. of the Company's issued ordinary share capital.

PDMRs of the Company, Ms S Harries and Messrs R Game, D J Lanchester, V B Vaghela and S Wigzell, each purchased 984 Ordinary shares and Mr. J Peacock purchased 982 Ordinary shares in the Company on 2nd January 2009 at 25.43p each under the Company's All Employee Share Ownership Plan ("the AESOP"). Ms S Harries and Messrs R Game, D J Lanchester, V B Vaghela and S Wigzell purchased 492 of their shares as Partnership Shares and 492 shares each were purchased by the Company as Matching shares under the rules of the AESOP.
