Notification of Transaction of Directors, Persons Discharging Managerial Responsibility or Connected Persons

This notification relates to a transaction notified in accordance with Disclosure Rules 3.1.4R(1)(a).

On 2nd June 2011, Brewin Dolphin Holdings PLC (LSE:BRW) received notification that:

1. Rupert Tyler, a PDMR, has today exercised options totalling 10,000 ordinary shares of 1 pence each ("Ordinary Shares") at a price of 139p each pursuant to the Company's Approved Share Option Scheme June 2001 grant.

His resultant holding in Ordinary Shares in the Company is now 335,190 ordinary shares, representing approximately 0.1447% of the total issued share capital of the Company and the total number of shares over which options are held by him is 46,872.

2. Sarah Soar, a Director, has today exercised options totalling 9,000 ordinary shares of 1 pence each ("Ordinary Shares") at a price of 139p each pursuant to the Company's Approved Share Option Scheme June 2001 grant.

Her resultant holding in Ordinary Shares in the Company is now 337,524 ordinary shares (of which 70,319 are nil paid), representing approximately 0.1457% of the total issued share capital of the Company and the total number of shares over which options are held by her is 108,607.
