Share Matching Plan - disposal of shares
The Company was informed today that the Trustees of the British Polythene Industries Employee Share Ownership Trust ("ESOT") had transferred beneficial ownership of 32,441 ordinary shares of 25p each in the Company ("shares") at 6.6025 pence per share to various participants in the Company's Share Matching Plan ("SMP"). These shares are Voluntarily Acquired Shares (as defined in the Rules of the SMP) which the ESOT will hold as nominee for the participants/beneficial owners in accordance with the Rules of the SMP. These shares represent approximately 0.119 % of the Company's share capital and total voting rights.
Following this, the ESOT is registered and beneficial owner of 1,109,742 shares representing approximately 0.409% of the total voting rights and share capital of the Company. The ESOT is also registered owner of a further 32,441 shares as nominee for participants in the Share Matching Plan, representing, as stated above, approximately 0.119% of the total voting rights and share capital of the Company.
John Langlands and David Harris as executive directors of the Company and David Duthie, Andrew Green, Michael Huyghe and David Pendlebury as other Persons Discharging Managerial Responsibilities, are beneficiaries of the Share Matching Plan and as such may have an interest in the shares for the purposes of Disclosure and Transparency Rule 3.1.
