Directors' DealingsDirectors Receive Shares in Lieu of Fees
London and New York, 22 July 2011 - Amphion Innovations plc (the "Company") (LSE: AMP), the developer of medical and technology businesses, today announces that, as of 20 July 2011, the Company has issued 727,107 ordinary shares, representing 0.54% of the enlarged issued share capital, to certain of its Board members as their directors' fees for the first and second quarter to 30 June 2011, priced at 2.4p, being the average of the closing mid-market price for the five days leading up to the market close on 20 July 2011. Following this issue, the directors' shareholdings in the Company are as follows:

Admission of the 727,107 new ordinary shares, ranking pari passu with the existing ordinary shares, is expected on 29 July 2011. Following this allotment the total issued share capital of the Company will increase to 134,225,850 ordinary shares with each share holding one voting right.
