DIRECTORS' AND PDMRs' SHARE INTERESTS

1. AWARDS UNDER THE ANNUAL BONUS SCHEME AND THE SHARE INCENTIVE PLAN ("SIP")

Under the Company's annual bonus scheme arrangements, conditional awards of the Company's ordinary shares have been made to certain employees including Executive Directors and PDMRs based on a market value of 300 pence per share. The awards comprise restricted shares which will be released two and three years after the date of the award, provided the individual Director or PDMR has remained in service.

The Company also operates a Share Incentive Plan ("SIP") for all eligible employees, including Executive Directors and PDMRs, who may be awarded up to £3,600 worth of the Company's ordinary shares, which are held in trust for at least three years, as part of their bonus arrangements. The SIP awards were also granted on the basis of a market value of 300 pence per share.

2. SHARE OPTION GRANT

On 7 March 2016, share options were granted to certain employees at an exercise price of 300 pence per share, including 50,000 unapproved options to one PDMR, Gordon McKinnon. The options will be exercisable between three and ten years following the date of grant.

3. PERFORMANCE SHARE PLAN ("PSP")

Awards pursuant to the PSP have been made to certain PDMRs as set out in the table below based on a market value of 298 pence per share. PSP awards will vest, subject to the satisfaction of performance conditions, in three equal tranches over three, four and five years.

Details of the PSP awards and the awards of restricted shares and SIP shares to Directors and PDMRs in respect of the year ended 31 December 2015 are set out below:
