John Wood Group PLC ("Company") NOTIFICATION OF TRANSACTIONS OF DIRECTORS, PERSONS DISCHARGING MANAGERIAL RESPONSIBILITY OR CONNECTED PERSONS In accordance with DTR 3.1.2R, on 3 June 2013 the Company was advised that theproceeds of dividends paid on 22 May 2013 on shares in the Company held onbehalf of the following Directors in connection with the Company's long termincentive schemes were reinvested in shares in the Company on the London StockExchange at a price of £8.47 per share. MrLanglands also holds 40,000 share options. Mr Keiller holds 1,582,251 ordinary shares representing 0.424% of the issuedshare capital of the Company, of which 1,577,990 shares are held directly and4,261 restricted shares are held with a beneficial interest only. Mr Keilleralso has a non-beneficial interest in 392,423 ordinary shares representing0.105% of the issued share capital of the Company and holds no share options. Mr Semple holds 383,459 ordinary shares representing 0.103% of the issued sharecapital of the Company, of which 297,782 shares are held directly and 85,677restricted shares are held with a beneficial interest only. Mr Semple alsoholds 40,000 share options. Mr Dobler holds 14,307 ordinary shares representing 0.004% of the issued sharecapital of the Company, of which 123 shares are held directly and 14,184restricted shares are held with a beneficial interest only. Mr Dobler alsoholds 30,000 share options. Mr Straughen holds 145,394 ordinary shares representing 0.039% of the issuedshare capital of the Company, of which 76,356 shares are held directly and69,038 restricted shares are held with a beneficial interest only. Mr Straughenalso holds 40,000 share options. Mr Watson holds 25,069 ordinary shares representing 0.007% of the issued sharecapital of the Company, of which 20,098 shares are held directly and 4,971restricted shares are held with a beneficial interest only.
