Notification of Transactions by Directors/Persons Discharging Managerial Responsibility
On 4 April 2022, Performance Share Plan ("PSP") awards ("Awards") in the form of nil cost options over ordinary shares of Made.com Group Plc were granted under the Made.com Incentive Plan. The table below sets out the number of shares over which Awards have been granted to PDMRs (the CEO and CFO). As set out in the FY2021 Directors' Remuneration Report, to mitigate potential windfall gains, the Committee decided that an average share price from the date of the IPO up to the date of grant will be applied for the purposes of determining the number of nil cost options that will be granted. Therefore, the share price that has been used represents the average share price from the date of the IPO (21 June 2021) to the closing share price on the last dealing day preceding the date of grant (1 April 2022), which is 138 pence per share.
Awards will vest subject to the achievement of performance conditions and the individual's continued employment over the vesting period and will be subject to a 2-year post-vesting holding period. The following performance conditions apply to Awards:
· one quarter of the Award may vest subject to the achievement of gross sales growth performance;
· one quarter of the Award may vest subject to the achievement of the Company's Total Shareholder Return ("TSR") performance measured against two Comparator Groups;
· one quarter of the Award may vest subject to the achievement of earnings per share performance; and
· one quarter of the Award may vest subject to the achievement of Environmental, Social and Governance related measures.
The Remuneration Committee will have the discretion to adjust Award outcomes if it believes the outcome is not a fair and accurate reflection of business performance and this also includes consideration of any windfall gains. The exercise of this discretion may result in a downward or upward movement in the amount of Award earned resulting from the application of the performance measures.
