NOTIFICATION OF INTEREST PURSUANT TO DTR 5 AND DTR 3.1.2 OF THE DISCLOSURE AND TRANSPARENCY RULES

On 30 November 2011, Capital & Regional plc (the Company) received notification that Parkdev Investments (Pty) Limited had purchased 1,048,936 ordinary shares and now has an interest in 6,167,631 ordinary shares of 1p each in the Company. This represents 1.76% of the issued share capital of the Company.
Parkdev International Asset Managers (Pty) Limited, Pinelake International Limited and Clearance Capital (Cayman) Limited together with L Norval and N Haasbroek and their interests in trusts are all related parties. All the parties together hold 98,976,381 ordinary shares in the Company which represents 28.23% of the issued share capital. Prior to this notification, all the parties together held a total of 27.93%.

Capital & Regional plc (the Company) received notification on 30 November 2011 pursuant to DTR 3.1.2 of the Disclosure and Transparency Rules of the following Directors' interests in ordinary shares of 1p each in the Company:
