Sherwood Group PLC27 March 2006 Sherwood Group plc (the "Company") Directors Shareholding The Company was informed on 27 March 2006 that Michael Hobbs had purchased400,000 ordinary shares of 5p each, representing 0.4 per cent. of the ordinaryshare capital of the Company at a price of 10.5p per ordinary share on 24 March2006. Following this purchase Michael Hobbs and persons connected to him areinterested in 1,450,000 ordinary shares, representing 1.4 per cent. of theordinary share capital of the Company, all of which are held beneficially. The Company was also informed on 27 March 2006 that Carol Duncumb had purchased200,000 ordinary shares of 5p each, representing 0.2 per cent. of the ordinaryshare capital of the Company at a price of 10.5p on 24 March 2006.
