Warner Estate Holdings PLC01 April 2008 Warner Estate Holdings PLC ("the Company") Shareholdings of Directors and PDMRs Messrs. P C T Warner, P W Collins and Mr M J Stevens, Directors of the Company,each purchased 80 Ordinary shares in the Company on 31 March 2008 at 311.75peach under the Company's All Employee Share Ownership Plan ("the AESOP").Messrs. P C T Warner, P W Collins and Mr M J Stevens purchased 40 of theirshares as Partnership Shares and 40 shares each were purchased by the Company asMatching shares under the rules of the AESOP. All shares were purchased on theirbehalf by Capita IRG Trustees Limited, the Trustee of the AESOP. The Trusteewill hold the Shares in Trust for a minimum period of five years following thedate of the purchase. The shares purchased represent less than 0.001 per cent.of the Company's issued ordinary share capital. R Game, D J Lanchester, J Peacock and V BVaghela purchased 40 of their shares as Partnership Shares and 40 shares eachwere purchased by the Company as Matching shares under the rules of the AESOP.M D Ovens purchased 41 of his shares as Partnership Shares and 41 shares werepurchased by the Company as Matching shares under the rules of the AESOP Allshares were purchased on their behalf by Capita IRG Trustees Limited, theTrustee of the AESOP.
