Interserve Plc Notification of Transactions of Directors/ Persons Discharging Managerial Responsibility and Connected Persons Interserve Plc (the "Company") announces that it was notified on 9 June 2006 ofthe exercise of Awards on 9 June 2006 of options over the Company's ordinary10p shares pursuant to the Interserve Plc Share Matching Plan by Mr A MRingrose and Mr J H Vyse, as follows:- No of Shares Total Exercise Cost Mr A M Ringrose 3,713 ‚£1 Mr J H Vyse 4,235 ‚£1 The Company was further notified on 9 June 2006 that Messrs Ringrose and Vysehad subsequently sold 1,527 and 1,741 shares respectively on 9 June 2006 at aprice of ‚£3.87 per share in order to cover tax and NIC liabilities.As a result of these transactions, their beneficial interests in the Companyare as follows:- * Mr A M Ringrose's interest in the Company has increased to 65,420 ordinary 10p shares, representing 0.057% of the Company's issued share capital. * Mr J H Vyse's interest in the Company has increased to 36,510 ordinary 10p shares, representing 0.031% of the Company's issued share capital. 9 June 2006ENDINTERSERVE PLCRelated Shares:
