Notification of Transactions of Directors / Persons Discharging Managerial Responsibility

Paragraph 3.1.4 of the Disclosure and Transparency Rules

Poundland Group plc (the "Company") announces that, in accordance with paragraph 3.1.2R of the Disclosure and Transparency Rules, the following transactions by Directors of the Company;

Jim McCarthy, Chief Executive Officer acquired today, 27th November, 2015, 331,751 ordinary shares of 1p in the Company at a price of 212.08p each. Mr McCarthy's total holding in the Company now stands at 10,000,000 approximately 3.72% of the issued share capital

Nick Hateley, Chief Financial Officer acquired today, 27th November, 2015, 46,820 ordinary shares of 1p in the Company at a price of 212.08p each. Mr Hateley's total holding in the Company now stands at 4,254,198 approximately 1.58% of the issued share capital
