Director/PDMR Shareholdings

On 5 August 2008 Basic Awards over shares were made to senior executives under the Meggitt Equity Participation Plan (the "Plan"). Further, on 18 August 2008, Matching Awards were made to senior executives under the Plan.

In accordance with the Rules and performance conditions of the Plan, on 18 August 2011 a total of 837,368 shares were transferred by the Trustee of the Plan to the Directors and PDMR to satisfy the Basic and Matching Awards made in 2008.

All directors and PDMR elected to sell only sufficient shares at 325.01p to discharge income tax and NIC liabilities and sale costs. As a result all directors and PDMR have increased their overall shareholding.

T Twigger (Director)

Basic Award 194,694 shares released

Matching Award 66,519 shares released

A total of 261,213 shares were released to Mr T Twigger. Sufficient shares were sold at 325.01p to discharge income tax and NIC liabilities and sale costs, being 136,104 shares, with the remaining 125,109 shares transferred to his spouse, Mrs E J Twigger.

As a result of the above transactions, Mr Twigger's holding in the Company has increased to 1,096,968 ordinary shares of 5p each, 0.14% of issued share capital.

S G Young (Director)

Basic Award 116,816 shares released

Matching Award 39,911 shares released

A total of 156,727 shares were released to Mr Young. Sufficient shares were sold at 325.01p to discharge income tax and NIC liabilities and sale costs, being 81,662 shares, with the remaining 75,065 shares transferred to his spouse, Mrs C Young.

As a result of the above transactions, Mr Young's holding in the Company has increased to 391,744 ordinary shares of 5p each, 0.05% of issued share capital.

P E Green (Director)

Basic Award 89,234 shares released

Matching Award 30,488 shares released

A total of 119,722 shares were released to Mr Green. Sufficient shares were sold at 325.01p to discharge income tax and NIC liabilities and sale costs, being 62,381 shares, with the remaining 57,341 shares transferred to his spouse, Mrs J E Green.

As a result of the above transactions, Mr Green's holding in the Company has increased to 548,762 ordinary shares of 5p each, 0.07% of issued share capital.

D G Johnson (PDMR)

Basic Award 56,785 shares released

Matching Award 19,401 shares released

A total of 76,186 shares were released to Mr Johnson. Sufficient shares were sold at 325.01p to discharge income tax and NIC liabilities and sale costs, being 39,697 shares, with the remaining 36,489 shares transferred to his spouse, Mrs L J Johnson.

As a result of the above transactions, Mr Johnson's holding in the Company has increased to 117,075 ordinary shares of 5p each, 0.02% of issued share capital.

I R Joesbury (PDMR)

Basic Award 50,296 shares released

Matching Award 17,184 shares released

A total of 67,480 shares were released to Mr Joesbury. Sufficient shares were sold at 325.01p to discharge income tax and NIC liabilities and sale costs, being 35,160 shares, with the remaining 32,320 shares transferred to his spouse, Mrs J Joesbury.

As a result of the above transactions, Mr Joesbury's holding in the Company has increased to 69,191 ordinary shares of 5p each, 0.009% of issued share capital.

K Schwartz (PDMR)

Basic Award 116,304 shares released

Matching Award 39,736 shares released

A total of 156,040 shares were released to Mr Schwartz. Sufficient shares were sold at 325.01p to discharge income tax and NIC liabilities and sale costs, being 56,288

 shares, with the remaining 99,752 shares transferred to his own name.

As a result of the above transactions, Mr Schwartz's holding in the Company has increased to 175,649 ordinary shares of 5p each, 0.02% of issued share capital.
