In accordance with Paragraph 3.1.2 of the Disclosure and Transparency Rules, WS Atkins plc ("the Company") was notified on Tuesday 17 February 2009 that on 16 February 2009 the Trustees of the Plan purchased ordinary shares of 0.5 pence each in the Company at a price of £5.280821 per share on behalf of the directors and persons discharging managerial responsibilities, as set out below:
