Directors' shareholdings
On 4 March 2011, the following directors were awarded deferred awards of Rathbone Brothers Plc ordinary shares in respect of the balance of profit share due for 2010. Shares were awarded at £11.963 being the average of the closing mid-market share price during the 20 business days prior to 4 March 2011.
Ordinarily, deferred share awards will vest on the third anniversary of the end of the financial year (31 December 2013). Vesting is not subject to the satisfaction of performance conditions but all or part of an award may lapse in certain circumstances, for example in the event of the director being considered a 'bad leaver'.
Shares, which have or will be purchased in the market, are held by the Profit Share Plan trustees, Investec Trust (Jersey) Limited and are registered in the name of Chase Nominees Limited.
