As required by paragraph 3.1.4R of the Disclosure Rules and Transparency Rules of the UK Listing Authority, the Company hereby announces that it was today notified that Ordinary Shares of 0.01 pence each in the Company were issued to the following non-executive directors of HSBC Infrastructure Company Limited (and their connected persons) in the amounts shown against their name below. These Ordinary Shares were issued today upon conversion of C Shares which the directors (and their connected persons) acquired pursuant to a Placing and Offer for Subscription undertaken by the Company in December 2009.
