Regus Group PLC22 March 2006 22nd March 2006 Regus Group plc (the "Company") Regus Group plc announces that the Remuneration Committee has granted thefollowing conditional share awards to its Executive Directors on 21st March 2006at a price of £1.0725 per share under the Regus Group plc Co-Investment Plan(the "CIP") approved by shareholders at the Company's AGM on 26th May 2005:- Name Number of Shares Number of Shares subject to Matching Share Award subject to Investment Share AwardMark Dixon 193,473 773,892Rudy Lobo 101,981 407,924 The Investment Share awards granted in accordance with the rules of the CIPrepresent a deferred bonus payment in respect of 50% of the gross bonus for eachExecutive Director relating to the financial year ending 31st December 2005. Inaddition the CIP provides for the Remuneration Committee to provisionally awardup to four Matching Shares for each Investment Share conditionally awarded,subject to the satisfaction of certain conditions. The Investment Share awards will vest and be released at the end of a three yearholding period, subject to the Executive Director being continuously employedwith Regus Group until 21st March 2009. The release of these Matching Share awards will be subject to the satisfactionof free cash flow per share and earnings per share targets over a three yearperformance period. In addition there is a Total Shareholder Return underpinwhereby no Matching Share awards will be released unless the Total ShareholderReturn performance of the Company is at least at the median compared to thecompanies currently constituting the FTSE 350 Support Services Index over thethree year performance period from the date of grant. The date on which the Matching Shares are capable of vesting and being releasedis 21st March 2009. Further details of the conditions and vesting arrangementswill be included in the Directors' Remuneration Report for 2006. The Company also granted conditional share awards under the Co-Investment Planon 21st March 2009 to the following senior executives discharging managementresponsibility under the same terms and conditions as the above awards toExecutive Directors.
