This disclosure relates to a transaction notified to Cable & Wireless Communications Plc ("the Company") in accordance with DTR 3.1.2R on 2 January 2014 and is given in accordance with DTR 3.1.4R(1)(a).

Purchase of Ordinary Shares

The following purchase of ordinary shares in the Company was undertaken by a director on 2 January 2014:

Performance Share Award

The Company was notified on 2 January 2014 that Computershare Trustees (Jersey) Limited, trustee of The Cable & Wireless Communications Share Ownership Trust (formerly the Cable and Wireless Employee Share Ownership Trust) ("the Trust") has undertaken the following transaction in the ordinary shares of the Company ("Shares"):

On 2 January 2014, a Performance Share Award over the number of Shares as set below was granted to the following Director under the Cable & Wireless Communications 2011 Performance Share Plan ("the Plan"):

Vesting of the shares awarded will be conditional on the achievement of performance conditions in respect of the financial years 2014/15, 2015/16 and 2016/17. Subject to the achievement of the performance conditions, the shares will vest in part on the third anniversary of the date of grant of the award and in part immediately after the announcement of the 2016/17 preliminary results.

The share price for the award is £0.5597, being the average share price of the Company for the five business days commencing on 23 December 2013. The Performance Share Award was granted in the form of a restricted share award.

A Dividend Award Supplement will apply in accordance with the rules of the Plan.

The consideration for the Performance Share Awards is £nil.
