Where TSRperformance meets the median, one third of the options will become exerciseablewith options becoming exerciseable for performance between these levels on asliding scale. If performance conditions have not been met by the end of theperformance period the options lapse.Vesting must also be warranted by reference to the underlying financialperformance of the Company during the performance period, which will bedetermined by the Remuneration Committee within 12 months following the end ofthe performance period.The restricted share award will vest subject to continued employment with theCompany. 50% of the award will vest on 25 July 2007 and 50% will vest on 25July 2009. Until the restricted share award vests, the shares will continue tobe held by Towers Perrin Share Plan Services (GSY) Limited as Trustee of theCable & Wireless Employee Share Ownership Trust.
