Notification of Transaction by a Person Discharging Managerial Responsibilities (PDMR)
For the purposes of DTR 3.1.4 of the Disclosure Rules and Transparency Rules, Glencore International plc (the Company) notifies that Mr Steven Kalmin, a Director and PDMR, informed the Company on 27 June 2012 that he had on that date procured:
1. the transfer of 14,104,630 Ordinary Shares of USD 0.01 each in the Company (Shares) to 1807 Clarendon Limited, a wholly owned subsidiary of Cititrust (Cayman) Limited (the Trustee) as trustee of a trust; and
2. the transfer of 56,418,524 Shares to 1804 Waterford Limited, a wholly owned subsidiary of the Trustee as trustee of a second trust.
These transfers were made in Switzerland for no consideration.
The beneficiaries or potential beneficiaries of each of these trusts include Mr Kalmin, his spouse and his children. Accordingly the Trustee is a connected person of Mr Kalmin in respect of these Shares and the total number of Shares in which Mr Kalmin and his connected persons are interested remains unchanged as a result of these transactions, being 70,523,154 Shares.
