3i Group PLC05 September 2006 UK Listing Authority Disclosure Rules DR 3.1.4R As potential beneficiaries of The 3i Group Employee Trust (the "Trust") allemployees of 3i Group plc (the "Company") and its subsidiaries have an interestin all the ordinary shares of 62 69/88p each in the Company ("Shares") held bythe Trust. These employees include P E Yea, S P Ball and M J Queen, who areDirectors of the Company. On 5 September 2006, the Company was notified that on 4 September 2006participants exercised options under The 3i Group Discretionary Share Plan toacquire from the Trust 132,690 Shares at £5.68 per Share.
