Serco Group plc (the "Company") was notified on 29 April 2013 that, on 26April, Ed Casey, a person discharging managerial responsibility, exercised18,055 conditional shares granted on 6 April 2010 under the Company'sPerformance Share Plan. He sold 6,038 shares on the London market at a price of607.5 pence per share, the balance of 12,017 shares have been retained in hisown name.

This notice is given in fulfilment of obligations under DTR3.1.2R and DTR3.1.4R(1)(a).
