Notification of Dealings in the Company's shares by Persons Discharging Managerial Responsibility ("PDMRs") and connected persons
The Company announces the following dealings by PDMRs in the Company's ordinary shares of 10p each ("Shares").
On 22 April 2010 the Company granted the following conditional awards ("Awards") under the Wm Morrison Supermarkets Long Term Incentive Plan ("LTIP").

Summary of the Awards
The Awards will vest on 22 April 2013, but only to the extent that certain performance criteria based on the Company's earnings per share during the 2012/2013 financial year and its like-for-like non-fuel sales over three financial years commencing with the current financial year are met.
No consideration is payable on the grant or vesting of the Awards.
The above notification is intended to satisfy the Company's obligations under Disclosure and Transparency Rule 3.1.4.
