3i Group PLC10 September 2007 UK Listing Authority Disclosure Rules and Transparency Rules DTR 3.1.4R 2004 Performance Share Awards under the 3i Group Discretionary Share Plan Pursuant to the rules of The 3i Group Discretionary Share Plan ("the Plan"), on9 and 31 July 2007 respectively the Remuneration Committee of 3i Group plc ("theCompany") considered the performance conditions attached to awards made underthat Plan in 2004 and determined that the performance conditions had beensatisfied as to 90% and 97.7%. As a result of the above, those Directors and persons discharging managerialresponsibilities ("PDMRs") of the Company who received 2004 Plan awards,forfeited the number of ordinary shares of 73 19/22p each ("Ordinary Shares")and B Shares in the Company detailed against their name below. On 7 September2007 the Company was informed that these forfeited Ordinary Shares (and in thecase of P E Yea his forfeited B Shares) had been transferred from the relevantDirector/PDMR to The 3i Group Employee Trust on the date specified below. In thecase of M J Queen and A W W Brierley their forfeited B Shares were sold in theBrokers' Offer on 23 July 2007 and the relevant sale proceeds transferred bythem to The 3i Group Employee Trust.
