Notification of Transactions by Director
and Person Discharging Managerial Responsibility
Morgan Sindall plc ("the Company") has been informed that on 3 November 2009 Paul Smith transferred his interest in 213,749 ordinary shares of 5p each in the Company ("shares") owned jointly by him and his wife, Elizabeth Smith, to the sole beneficial ownership of Elizabeth Smith. On the same day Elizabeth Smith transferred the legal ownership of the shares into the name of Chase Nominees Limited.
The above transactions do not affect the total interests of Paul Smith and his connected parties in the share capital of the Company, which remains unchanged at 213,749 shares representing 0.50% of the issued share capital.
