On 26 April 2011, Ivo Clifton exercised options over 8,122 Rathbone Brothers Plc ordinary shares of 5p at £4.15 granted under the Rathbone Executive Share Option Scheme 2000. The market value of the shares on exercise was £11.95 being the closing mid market price on 21 April 2011. The shares allotted were registered in the name of Rathbone Nominees Limited. The shares were sold on 26 April 2011 at £11.93. His declarable beneficial holding of 20,705 shares (0.048% of the issued share capital) therefore remains unchanged.

On the same date, Robert Hughes-Penney transferred 5,896 shares to his wife at £11.95. The shares remain registered in the name of Rathbone Nominees Limited and his declarable beneficial holding of 16,970 shares (0.039% of the issued share capital) remains unchanged.
