Morgan Sindall PLC30 June 2006 Morgan Sindall plc ("the Company") Notification of Transactions by Directors and Persons Discharging ManagerialResponsibility Morgan Sindall plc Long Term Incentive Plan ("LTIP") The Company today announces the number of ordinary shares (as set out below) of5p each in the capital of the Company ("shares") that have been allocated todirectors and persons discharging managerial responsibility ("PDMRs") of theCompany pursuant to the terms of the LTIP. This relates to shares that wereconditionally awarded under the LTIP on 30 June 2003 and subject to aperformance condition based on the Company's total shareholder return over athree year period to 31 December 2005 compared with a selected peer group. Theperformance condition was met in full. Directors and PDMRs will be entitled to receive dividends and to vote in respectof shares allocated to them but will not be entitled to transfer or otherwisedeal in the shares until the expiry of two years from the date of allocation andthey may be required to forfeit the shares if they cease to be employed by theCompany during that period. The number of shares allocated is set out below.
