Share Options

The Company has now updated its share option plan and has made a new award of share options (the "2013 Award"). The 2013 Award supersedes the share options granted in 2010 which were due to expire in April 2014 and have now been cancelled.

As anticipated at the time of the share placing in August 2012, options under the plan will be exercisable at the 2012 placing price of 1.5p. Options will vest according to a scale if the Company's average share price, over any four-month period after the date of grant, exceeds 3.5p up to the maximum entitlement if the share price reaches 9p. The trigger prices are 3.5p (6% of share capital), 5p (10%), 6p (12.5%), 7p (15%), 8p (17.5%) and 9p (20%).

A maximum of 20% of the issued share capital is permitted to be placed under all the Company's share option plans, taking account of options over existing shares that remain issuable. A maximum of 78,090,157 ordinary shares may be issued under the 2013 Award.

Where individual options have vested up to 10% of the vested shares may be exercised from 12 months following vesting, up to 20% from two years and up to 30% from three years. Subject to the vesting conditions, unexercised options may be exercised from September 2018 until they expire in September 2022. Subject to statutory restrictions the options (except in the case of Andrew Brode) are intended to qualify as enterprise management incentives.

The participating Directors' beneficial interests in the Company are as follows:

Julian Turner has an interest in 12,650,275 issued shares, representing 3.1% of the issued share capital, options over a further 692,267 shares and a maximum total participation in the 2013 Award of 42,949,586 shares. Will Fawbert has a maximum total participation in the 2013 Award of 17,179,834 shares and has no other interest in shares in the Company. Andrew Brode has an interest in 7,200,000 issued shares, representing 1.8% of the issued share capital, and a maximum total participation in the 2013 Award of 10,151,720.
