responsibility ("PDMR")
Grant of awards under the FirstGroup plc Long Term Incentive Plan ("LTIP")
FirstGroup plc (the "Company") announces that the following Directors and PDMRs of the Company were granted awards on 3 July 2012 over the Company's ordinary shares of 5 pence under the LTIP as follows:

The awards under the LTIP will vest at the end of the three year performance period (31 March 2015) subject to the satisfaction of twin performance conditions relating to absolute growth in the Company's earnings per share ("EPS") and total shareholder return ("TSR") against an appropriate comparator group and provided the executive remains in employment.
The transaction took place at 395 King Street, Aberdeen AB24 5RP.
