Evolution Group PLC31 March 2006 31 March 2006 The Evolution Group Plc Directors' Interest and Transactions in Own Shares The Evolution Group Plc (the "Company") has received notification from Evolution EBT Limited as Trustee of The Evolution Group Plc Employees' Share Trust (the "Trust") (a discretionary trust of which all employees of The Evolution Group Plc and its subsidiaries are beneficiaries), that on 31 March 2006 55,000 ordinary shares of 1p each in the Company ("Shares")were either transferred to or sold on behalf of employees who had exercisedcall rights over Shares held in the Trust. None of the Shares referred to above was transferred to or sold on behalf of any of the executive directors (the "Directors") of the Company. However,each of the Directors is a member of the class of discretionary beneficiariesof the Trust and is consequently taken to have an interest in all the Sharesheld in the Trust. As a consequence of the vesting of the aforementioned Shares to employees other than the Directors, the Directors have ceased tobe interested in those Shares. The Executive Directors are deemed for Companies Act purposes to be interestedin all Shares held by the Trust. The Trust now holds a total of 7,432,404 Shares representing approximately 3.237% of the Company's issued share capital.
