BRIT Insurance Holdings PLC25 May 2006 25 May 2006 BRIT INSURANCE HOLDINGS PLC Performance Share Plan Brit Insurance Holdings PLC ("Brit" or "the Company"), the UK-basedinternational general insurer and reinsurer, announces that Abacus CorporateTrustee Limited, the independent trustee (the "Trustee") of the Brit PerformanceShare Plan 2003 ("PSP") has notified Brit that it transferred 9,103 Britordinary shares of 75p each ("Shares") on behalf of a participant of the PSP on24 May 2006. The participant is not a director of Brit. Following this transaction, the Trustee holds a total of 2,921,618 Shares,representing approximately 0.89% of Brit's issued ordinary share capital. Theexecutive directors of Brit, together with other employees, are potentialbeneficiaries under the PSP and are therefore treated as having an interest insuch Shares. This notification is intended to satisfy the Company's obligations underparagraph 3.1.4R(1)(b) of the Disclosure Rules.
